Terms of Service

By accessing or using the Fuez AI website, application, APIs, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, you must not access or use the Service. Your continued use after we post changes constitutes acceptance of the revised Terms, except where prohibited by law.

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are under 18, you may only use the Service with involvement and consent of a parent or legal guardian who accepts these Terms on your behalf.

You may not use the Service if you have previously been suspended or removed, or if your use is prohibited by applicable law, export control regulations, or sanctions programs.

Fuez AI provides a cloud-based workspace that combines human collaboration with configurable AI agents, workflows, integrations, and tools for product development, marketing, operations, research, and related business activities.

The Service may include free and paid plans, team workspaces, project environments, agent sessions, file storage, deliverable generation, third-party integrations, and administrative controls. Features vary by plan and may change over time.

We may add, modify, suspend, or discontinue any part of the Service at any time. We will use reasonable efforts to provide advance notice of material changes that significantly reduce core functionality for paying customers, except for security, legal, or emergency reasons.

To use most features, you must create an account with accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account and workspace.

You must notify us promptly at support@fuez.ai if you suspect unauthorized access. We are not liable for losses arising from unauthorized use of your account where you failed to safeguard credentials.

Workspaces are controlled by designated owners and administrators who manage users, permissions, integrations, billing, and data within that workspace. Actions taken by admins on behalf of a workspace bind the organization.

You are responsible for configuring appropriate access controls, reviewing agent permissions, and ensuring team members comply with these Terms and your internal policies.

If you invite users to a workspace, you represent that you have authority to grant them access to workspace content and connected integrations.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all content submitted, prompts issued, agent configurations, and outputs used within your workspace.

The Service uses third-party and proprietary AI models to generate text, code, images, recommendations, and other outputs ("AI Outputs"). AI Outputs may be inaccurate, incomplete, biased, or inappropriate for your use case.

You are solely responsible for reviewing, validating, and approving AI Outputs before relying on them for business, legal, medical, financial, or other high-risk decisions. Fuez does not provide professional advice through AI Outputs.

You retain rights to your inputs and, subject to third-party model provider terms, to AI Outputs you lawfully create using the Service, except for Fuez's underlying platform, models interface, and pre-existing materials.

The Service may connect to third-party applications (e.g., Slack, GitHub, HubSpot, Google, payment providers). Your use of integrations is subject to those providers' terms and privacy policies.

By enabling an integration, you authorize Fuez to access and process data from the connected service within the scopes you approve. You are responsible for ensuring you have rights to connect and sync that data.

Fuez is not responsible for third-party service availability, data loss, or policy changes outside our control.

Fuez and its licensors own all rights in the Service, including software, design, trademarks, documentation, and underlying technology. These Terms do not grant you ownership of the Service.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.

You may not copy, modify, distribute, sell, or lease any part of the Service unless expressly permitted. Feedback you provide may be used by Fuez without restriction or compensation.

Your workspace content and connected data ("Customer Data") are processed as described in our Privacy Policy and Data Policy. You retain ownership of Customer Data.

You grant Fuez a worldwide, limited license to host, copy, transmit, and display Customer Data solely to provide, secure, and improve the Service and as otherwise instructed by you.

You represent that you have obtained all necessary rights, consents, and legal bases to submit Customer Data and to permit Fuez to process it under these Terms.

Paid plans are billed in advance according to the pricing and billing interval displayed at checkout. Prices may exclude applicable taxes, which you are responsible for paying.

Subscriptions renew automatically at the end of each billing period unless you cancel before renewal. You can manage billing and cancellation through workspace settings or our payment processor.

Except where required by law or explicitly stated in a separate agreement, fees are non-refundable. Downgrades take effect at the next billing cycle unless otherwise specified.

We may offer free plans, trials, or promotional credits. These are provided "as available" and may be modified or discontinued at any time.

At the end of a trial, your workspace may convert to a paid plan or free tier according to the terms presented at signup unless you cancel or change plans.

Promotional offers may not be combined unless explicitly permitted. We may revoke promotional access in cases of abuse or violation of these Terms.

We strive for high availability but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, and factors outside our control may cause temporary interruptions.

Support levels depend on your plan. Enterprise customers may receive enhanced support and uptime commitments under a separate order form or SLA.

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and use it only for purposes related to the Service.

Confidentiality obligations do not apply to information that is public, independently developed, rightfully received from a third party, or required to be disclosed by law (with notice where permitted).

THE SERVICE AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FUEZ DOES NOT WARRANT THAT AI OUTPUTS WILL BE ACCURATE, RELIABLE, OR FREE FROM HARMFUL CONTENT, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUEZ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

FUEZ'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FUEZ FOR THE SERVICE IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

You will defend, indemnify, and hold harmless Fuez and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, your violation of these Terms, or your violation of third-party rights.

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, except where mandatory consumer protection laws in your country of residence apply.

Before filing a claim, you agree to contact us at legal@fuez.ai and attempt to resolve the dispute informally within 30 days. If unresolved, disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.

We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. Material changes may also be communicated by email or in-product notice.

If you do not agree to updated Terms, you must stop using the Service and may cancel your subscription. Continued use after the effective date constitutes acceptance.

These Terms, together with the Privacy Policy, Data Policy, Cookie Policy, and any order form or enterprise agreement, constitute the entire agreement between you and Fuez regarding the Service.

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
